The commercial real estate sector offers an array of different structures when it comes to investments, each with varying degrees of control for investors. While passive investments provide opportunities for diversification and professional management, they also inherently limit the investor’s control over key decisions.

In direct ownership, investors purchase and manage properties themselves. This gives them full control over all aspects of property management, leasing, and disposition. Despite this kind of ownership giving investors massive control, it is also time-consuming and requires expertise and capital.
2. Syndications:
Real estate syndications pool capital from multiple investors to obtain larger properties that could be out of reach for individual investors. Syndications are typically managed by a sponsor or general partner, who handles day-to-day operations. Investors are very limited in the control of management decisions.

Crowdfunding platforms allow individual investors to participate in real estate deals with lower capital requirements. While these platforms provide access to a plethora of deals, investors are generally passive when it comes to crowdfunding. Usually, they will rely on the platform operator for management decisions.
The Solution: Strategies to Regain Control Over Real Estate Investments
Passive investments do limit investor control. However, there are multiple strategies that investors can use to help get more influence and look at their interests while still maintaining access to the more diverse opportunities that are available.
- Opt for Direct Ownership or Joint Ventures
For investors seeking maximum control, direct ownership or joint venture (JV) partnerships can be an effective solution. These investment structures allow investors to have direct input on key decisions, such as property acquisition, management, leasing, and disposition.
Direct Ownership Benefits: Investors in direct ownership can be fully anonymous when it comes to their assets. They control property management, tenant relationships, financing and any decisions related to property improvements or sales.
Joint Ventures: In a joint venture, investors team up with a partner to co-own and manage properties. They normally give the opportunity for greater input from all partners compared to syndications or funds which provides investors with more control over strategic decisions.
Drawbacks: While direct ownership offers control, it is more time-consuming and will more expertise. Additionally, managing properties directly involves taking on more operational risks.
- Seek Syndication or Fund Structures with More Investor Input
Investors may have varying degrees of involvement in different forms of syndication. Investors can seek out structures where limited partners have more input or voting rights on major decisions, such as property sales, refinancing or huge capital improvements.
Sponsor Alignment: Look for syndications or funds where the sponsor or general partner’s incentives are closely aligned with your specific interests. For example, sponsors who invest significant personal capital into the project may be more likely to act in the best interest of all investors.
Investor Voting Rights: Some syndications allow limited partners to vote on key decisions, such as whether to sell or hold a property. This can provide investors with more control over the timing of asset dispositions.
Enhanced Transparency: Choose syndications or funds that prioritize transparency by providing detailed, regular reporting on property performance, financials, and market conditions.

Investors involved in co-investments or partnerships can negotiate terms upfront to secure greater control over decision-making processes. This is particularly important when it comes to smaller partnerships which involve decisions being agreed upon by a minute group of investors.
Decision-Making Processes: Outline specific decision-making processes in partnership agreements. For example, investors may require unanimous approval for certain actions, such as selling a property or taking on new debt.
Exit Flexibility: Negotiate exit strategies that enable flexibility, like options for early buyouts or secondary market transfers of ownership stakes.
Management Roles: In smaller partnerships, investors can take on active management roles to gain more influence over day-to-day operations and strategic decisions.
- Invest in Private REITs or Funds with a Focus on Active Communication
Private REITs or real estate funds may offer a middle ground between fully passive investments and direct ownership. This can especially be the case if the fund manager wants to put an emphasis on active communication and investor engagement.
Regular Reporting: Look for funds that provide detailed quarterly or even monthly reports on portfolio performance, market conditions, and investment strategy. Regular communication helps keep investors in the loop and confident in their investments!
Investor Meetings: Some private REITs or funds hold investor meetings where investors can ask questions, provide feedback, and discuss the future direction of the fund. This creates a more interactive relationship with fund managers.
Tailored Investment Strategies: Funds that offer customizable investment options, such as sector-specific strategies or risk-adjusted portfolios can give investors more control over what their capital is spent on.
- Use Real Estate Crowdfunding for More Targeted Control
Crowdfunding platforms offer investors the opportunity to select specific deals that align with their preferences for things such asset class, location and risk profile. While these platforms often limit investor involvement in day-to-day operations, they do provide more control over investment selection than traditional syndications or funds.
Deal Selection: Investors can choose which individual properties to invest in based on a number of factors. These include location, property type and financial exposure. This allows for greater control over the portfolio’s diversification and risk exposure.
Smaller Investment Amounts: Crowdfunding platforms often require smaller minimum investments; this enables investors to diversify their holdings more smoothly while still keeping control over which deals, they participate in.
Having a lack of control over investments in commercial real estate can be a cause for concern, particularly for passive investors in syndications, REITs, and pooled funds. However, control can be regained by looking at solutions such as direct ownership, joint ventures, more investor-focused syndications and funds that prioritize transparency and communication. They can help CRE investors to gain a good balance between passive investment opportunities and the ability to influence key decisions.
